The new records locate a concrete approval chain inside ICMEC Australia. Its published Board Charter, adopted and effective 6 December 2023, gives its board approval over strategic direction and budgets, major capital expenditure and partnerships, and material funding submissions, new programs and external reporting. Management develops and implements plans within board-set limits; matters exceeding those limits return for approval. This is a documented governance mechanism in a period before the November 2024 SaferAI paper. The new route was the live homepage's actual Governance link, /icmec-australia-governance/. This is a different URL from the previous failed /governance/ guess. That independently captured page linked the current constitution, charter and policies. Its public WordPress API, discovered from the homepage's rel=api.w.org link, disclosed earlier constitution attachments. No ACNC route, proxy or mirror was used.
Both a document headed ICMEC Australia Constitution – July 2023 and the current March 2025 text exempt ICMEC US from the usual membership-renewal requirement in clause15.2. Each specifically defines the US corporation by EIN22-3630133. This is affirmative evidence of a continuing named place in the constitutional scheme. It is not the membership register: the exemption alone cannot establish that the US body actually remained a member on any chosen date, that it exercised a vote, or that it retained control. In both texts, the board admits applicants, the secretary enters them in the member register, and each member has one vote. Members elect directors and may remove them; the board may fill vacancies under the specified conditions. The board manages the company and records delegations. The register, admission decisions, representative appointments and election resolutions therefore reveal actual governance power; website lists of partner or coalition members do not. Neither inspected appointment scheme gives a named donor a reserved appointment or veto. An undisclosed grant agreement or separate instrument could contain other rights. These are related publisher versions, not four independent confirmations. The media API also lists a second May2025 file (media1409), which was discovered but not fetched. No earlier-membership names or resolution establishing who replaced or joined the sole member were recovered. The decisive date gap is the adopted text and resolutions effective6July2023, not whether a file with 2023 in its name exists.
The current board page lists Jodie Arthur, Westpac General Manager Financial Crime and Group MLRO, as an Australian non-executive director; Jeremy Moller is listed as board chair. This refreshes the prior report-period role observation. It supplies a direct institutional entry point to the board approval process, while leaving appointment basis, representational authority and participation in particular decisions unresolved. The published Conflict of Interest Policy places the register of interests with the company secretary. It calls for disclosures, management decisions and their voting results to be recorded. The current constitution separately requires material-conflict disclosure and ordinarily excludes an interested director from discussion/voting, subject to explicit exceptions. The already retained US2023 audit, PDF3/printed2, bears GRF CPAs & Advisors, grfcpa.com, and says the Australian component auditor's statements/reports for the period ended6July2023 were furnished to it. That makes GRF a specifically evidenced recipient of the underlying report. It does not name the Australian auditor. The US audit remains a USD consolidated disclosure; no new cash transfer or Australian expense allocation is inferred.
The Australian secretary is the constitutionally specified holder of the membership register and minutes, including admission, member and director resolutions (July text PDF19,58–60; March text PDF17–18). The governance page supplies info@icmec.org.au for policy questions. The already captured FY2024–25 Impact Report, PDF18/printed35, names Griselda Afonso, Senior Manager Accounts and Office Manager, a report-period finance-route identifier. The PDF author metadata also names her, but metadata does not prove legal authorship, secretary status, audit responsibility or personal custody of a particular record. No named secretary, Australian component auditor or personal email was established.
The strongest rival to donor-directed policy is an Australian board exercising its own judgment, with a bank executive contributing sector expertise, a legacy non-controlling US relationship, and conflicts handled under its published procedures. A donor-direction explanation predicts specific nomination or reserved rights, funding conditions, instructions, draft clearance, or documented participation in linked approvals. The public rules locate where those mechanisms could operate; they do not show them being exercised.
The highest-value bundle is the membership-register extract showing names and start/end dates around6July2023, the adopted constitution and amendment/admission/representative/election resolutions, and the Australian component financial statements/report supplied to GRF for that period. For the donor-to-program chain, pair the executed Westpac grant/extension with the relevant board approval papers, delegated-authority schedule, interests declarations and recusal/vote minutes. Inspect institutional roles and dates; unnecessary personal addresses need not be collected.
The component report and standalone Australian financials were not obtained. Public exact-entity/identifier/record-family searches and the publisher's media search for audit returned no relevant standalone report; financial returned a symposium item. These bounded metadata results do not establish absence from the website or absence of accounts. Broad search incidentally returned ACNC titles; none was opened, fetched or used as financial evidence. The governance page's linked June2026 Non-Conduit Policy PDF returned404 once; no retry or inferred contents. The web reader's cache miss for the new governance URL was followed by a successful direct publisher GET, whose original is retained; no restricted surface was involved.
