Corporate membership and governing authority over the StopNCII operator

SWGfL trustees / corporate members

SWGfL's trustees are also its only corporate members under the articles adopted on 10 October 2024. They hold the organisation's management and appointment rights and can delegate responsibilities under recorded, revocable arrangements. This governance role is distinct from paying participation in StopNCII.

Appointments, delegation and a named overlap

The articles provide one vote per trustee-member and appointment by resolution, with rules for meetings, alternatives to meetings, conflicts, chief-executive appointment and committees. Delegated terms may require board approval or an agreed budget. Karuna Nain's director appointment is recorded as 3 April 2024 and the current operator page lists her as a trustee, with a former Meta safety-policy role. The underlying appointment resolution, any donor nomination right and an actual StopNCII programme delegation were not acquired.
