Reset UK director-member decision body

This is the governing decision body created by Reset Tech UK's May 2025 articles. Directors are the company's only members, bringing corporate management and membership voting within the same body. It is a collective constitutional role, rather than a separate organization or an individual controller.

What the records establish

Articles 9–16 and 20–24 provide for management, appointments and revocable delegation; committee spending requires authority or an approved budget. Each member has one vote on written resolutions. Specified entrenched changes—including purposes, asset-lock, winding-up and entrenchment provisions—require member unanimity; other special written resolutions require 75%. Officer records list Dale Benjamin Scott and Poppy Wood as directors appointed on 5 July 2023, before the new membership framework.
