Online Harms Foundation

Online Harms Foundation is UK company 11656320, a company limited by guarantee without share capital, formerly named QuantSpark Foundation until 11 May 2021. Control, liabilities and the award recipient

OHF's control register gives QuantSpark at least 75% of voting rights and director appointment/removal rights. Its July 2025 accounts report GBP913,015 invoiced by QuantSpark and GBP1,554,927 owed, with loan support relevant to going concern. QuantSpark's corresponding figures differ by GBP80 on invoicing and GBP1 on the combined balance; they describe the same relationships, not extra flows. Canadian records name the foundation under its former and current names, supported by the separate company-history crosswalk, rather than naming QuantSpark Limited as award recipient.

From the investigation

Prior records retained without upgrading their state

Agreement 21415 : QuantSpark Foundation, initial CAD1,155,622.44; amended total CAD1,256,688.09, with the prior packet preserving the one-day start-date discrepancy and the 22 November 2021 amendment. Agreement 22841 : Online Harms Foundation, CAD1,945,904, disclosed term 1 April 2023–31 March 2026 . The exact detail records and amendment are already retained; they were not reacquired. Legal aliasing to company 11656320 depends on the separate registry evidence, not the Canadian records themselves.

Tech Against Terrorism: the verifier, its legal controller and its operating rules

The strongest new relationship is concrete corporate and financial dependence: Tech Against Terrorism (TAT) is implemented by Online Harms Foundation (OHF); OHF's filed controlling entity is QuantSpark Limited; OHF also reports receiving loans from, being invoiced by, and owing money to QuantSpark. A separate official Canadian award directly funds development of the Terrorist Content Analytics Platform (TCAP). Neither record gives a donor a demonstrated right to order an individual content classification.

The new evidence

The Canadian disclosures supply the recipient/project connection that the earlier announcement left indirect. They name QuantSpark Foundation for TCAP agreement 21415 , and Online Harms Foundation for Phase 2 agreement 22841 . Their fields explicitly identify these as recipient legal names. The current official data schema says that field should come from the agreement, and that agreement value means the total stated in the agreement, in CAD , not an amendment increment. These are government-published disclosure assertions about agreements, not the signed instruments themselves.

How this changes the earlier announcement

Identity boundary. The accepted Companies House packet identifies company 11656320 as Online Harms Foundation, previously QuantSpark Foundation until11May 2021. This supports reading these labels as the historical names of the same company, distinct from QuantSpark Limited company 10304694. That legal-name history is retained prior primary research, not a fresh registry inspection in this lane. The November 2021 Canadian amendment continues to display the former Foundation name after the reported UK name change; this may be a legacy agreement label. It is not evidence of a second foundation, an undisclosed recipient or the Limited company itself receiving the Canadian award. No UK company number appears in the inspected Canadian records, so the registry-number crosswalk remains separately sourced.
