Who can decide at Palantir
The April 24, 2026 proxy identifies Karp as co-founder, CEO since 2005 and director since 2003; Peter Thiel is co-founder/chairman; Stephen Cohen is co-founder/president/director. Class A has one vote per share and Class B ten. All Class F stock sits in the Founder Voting Trust. Subject to the 100 million equity-security threshold, the mechanism generally brings specified founder-related votes to 49.999999% for a matter. It is not an extra 49.999999% added to the same A/B votes. All three founders remain parties; matching instructions from at least two determine the bloc. Without matching instructions the specified votes abstain/withhold; the trustee has no voting discretion. This establishes unusual collective founder authority, not Karp's unilateral majority control.
